PE-backed ContextLogic to acquire chemicals manufacturer gChem from EagleTree for $850m

  • gChem will become ContextLogic’s second operating business, following its early 2026 acquisition of US Salt. 
  • EagleTree was lining up gChem for sale as PE Hub reported in a late-2025 exclusive, when the firm had retained Morgan Stanley as sellside adviser. 
  • Under its nearly eight year hold, EagleTree supported gChem’s investments in commercial expansion, manufacturing capacity, as well as the back-integration into dinitrogen tetroxide (NTO), a major building block of DMSO production.

BC Partners and Abrams Capital-backed ContextLogic announced an agreement to acquire Gaylord Chemicals (gChem), a vertically integrated specialty chemicals company, from EagleTree Capital in an $850 million enterprise value transaction.

gChem will become ContextLogic’s second operating business, following its early 2026 acquisition of US Salt.

Following the deal, gChem will continue to be led by CEO Frank Roederer and existing management team.

Founded in 1962 and based in Covington, LA, gChem manufactures dimethyl sulfide (DMS), dimethyl sulfoxide (DMSO), dinitrogen tetroxide (NTO) and is the originator and exclusive producer of Procipient (Dimethyl Sulfoxide USP, PhEur).

The company’s products are used in technically-demanding applications such as pharmaceuticals, semiconductors, agriculture, performance chemicals and aerospace.

Under its near eight-year hold, EagleTree has supported gChem’s investments in commercial expansion, manufacturing capacity, and innovation, including the back-integration into NTO, a major building block of DMSO.

Morgan Stanley advised gChem on the sale, which PE Hub reported in an October 2025 exclusive story as coming to market. Piper Sandler acted as financial adviser to ContextLogic.

The deal is expected to close by the end of 2026, subject to the receipt of customary regulatory approvals and the satisfaction of other closing conditions.
