- Apax Digital funds will become Wematch’s majority owner once the deal completes, expected in Q4 2026
- Existing strategic investors Barclays, Deutsche Börse Group, JPMorgan and Societe Generale remain shareholders
- New capital will fund AI and data product development plus expansion into the Americas and Asia-Pacific
Apax Digital, the growth equity arm of Apax Partners, has agreed a strategic growth investment in Wematch.live, a London-based technology platform for securities finance and capital markets workflows. Once the deal completes, Apax Digital funds will become Wematch’s majority shareholder, with the company continuing to operate as an independent platform.
Wematch’s existing strategic investors, Barclays, Deutsche Börse Group, JPMorgan and Societe Generale, will remain shareholders alongside Apax Digital, continuing partnerships that in several cases date back to the company’s earliest years, according to the company. Wematch’s management team will also remain invested. Completion is expected in the fourth quarter of 2026, subject to customary regulatory approvals.
Wematch provides infrastructure for securities finance trades such as total return swaps and securities lending, letting banks, brokers and investors find counterparties, negotiate terms, execute trades and manage lifecycle events such as substitutions and corporate actions in a single workflow connected to their own systems via APIs. The platform operates a regulated multilateral trading facility in Europe and a regulated broker-dealer, alternative trading system and security-based swap execution facility in the United States.
Close to $2 trillion of notional is currently managed on Wematch, and the platform handled about $7 trillion of basket substitutions over the past 12 months, according to the company. The new capital will fund product development, including data and AI capabilities, and international expansion in securities lending, buy-side connectivity, and the Americas and Asia-Pacific, according to the company.
Wematch was founded a decade ago by chief executive Joseph Seroussi.
“Market after market has been transformed by electronic workflows: equities, FX, rates, and credit. Securities finance is next, and Wematch is becoming its operating system,” said Mark Beith, partner at Apax Digital, in a statement. “The world’s leading banks and market infrastructure providers aren’t just its customers and partners – they’re its shareholders.”
