Thoma Bravo completes $466m take-private of validation software firm Kneat

Thoma Bravo has completed its acquisition of Kneat, a digital validation and quality process automation provider based in Limerick, Ireland, in an all-cash transaction valued at approximately C$650 million ($466 million; €404 million).

Under the terms of the deal, Kneat shareholders, other than the rolling shareholder, are entitled to receive C$6.50 in cash for each share held. Kneat’s shares have ceased trading and will be delisted from the Toronto Stock Exchange.

The agreement to acquire Kneat was originally announced on June 8, 2026, and was approved by Kneat shareholders at a special meeting held on July 30, 2026.
